1. Definitions

"User" or "You" refers to any individual or entity accessing our website or engaging our services. "We," "Us," or "Our" refers to Lanna Shield, located at 14 Chang Klan Road, Mueang Chiang Mai, Chiang Mai 50100, Thailand. "Agreement" refers to these Terms and Conditions together with any engagement-specific terms agreed upon in writing.

2. Acceptance of Terms

By accessing our website or engaging our advisory services, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, you should discontinue use of our website and services. You must be at least 18 years of age to use our website and engage our services. Lanna Shield provides legal advisory services focused on Thai civil and commercial law, with particular attention to lease and tenancy matters, employment regulation, and cross-border commercial operations across ASEAN jurisdictions. Our services are advisory in nature and are delivered through structured consultation sessions, written advisory summaries, template documents, and compliance guides as described in individual service specifications. Service availability may vary based on capacity and scheduling. We reserve the right to modify service offerings and pricing with reasonable notice.

4. User Responsibilities

When engaging our services, you agree to provide accurate and complete information relevant to your advisory engagement, respond to communications and requests for information in a timely manner, use the advisory materials and documents we provide only for their intended purpose, refrain from reproducing, distributing, or commercially exploiting our written deliverables without our prior written consent, and comply with all applicable laws and regulations in connection with your use of our services and website.

5. Intellectual Property

All content on this website — including text, design, logos, graphics, and layout — is the property of Lanna Shield and is protected under Thai and international intellectual property laws. Written advisory summaries, compliance guides, template documents, and other deliverables produced during the course of an engagement are provided for the client's own use in connection with the matter for which they were prepared. You may not reproduce, distribute, or create derivative works from these materials without our express written permission.

6. Payment Terms

Service fees are stated in Thai Baht (THB) and are due as specified at the time of engagement. All prices are quoted on a fixed-fee basis per engagement unless otherwise agreed in writing. Payment is typically due prior to the commencement of advisory sessions or as outlined in the engagement agreement. We accept bank transfer and other payment methods as communicated during the engagement process. In the event of non-payment, we reserve the right to suspend or terminate advisory services and retain any deliverables until outstanding balances are settled.

7. Refund Policy

If you wish to cancel an engagement before the first advisory session has taken place, a full refund will be issued. Once advisory sessions have begun, refunds will be calculated on a pro-rata basis for sessions not yet delivered, minus any costs incurred for written materials already prepared. 8. Confidentiality

We treat all client information and communications as confidential. Information shared during advisory engagements will not be disclosed to third parties except where required by law, authorized by you in writing, or necessary for the delivery of the advisory service (for example, sharing information with a co-advisor on a cross-border matter with your consent). Our confidentiality obligations survive the termination of any engagement.

9. Disclaimers

Our services are advisory in nature and are provided based on the information available to us at the time of the engagement. We do not represent or warrant that following our advisory will produce any particular legal outcome. Legal outcomes depend on many factors beyond our control, including the actions of courts, regulatory bodies, and other parties. The advisory we provide does not constitute a legal opinion for the purposes of litigation unless specifically agreed otherwise. Our website content is provided for general informational purposes and should not be treated as legal advice.

10. Limitation of Liability

To the maximum extent permitted under Thai law, Lanna Shield's total liability arising from or in connection with any engagement shall not exceed the total fees paid by you for that engagement. We shall not be liable for any indirect, incidental, consequential, or special damages, including loss of profits, business interruption, or loss of data, arising from or related to the use of our services or website. Nothing in these terms excludes liability that cannot be excluded under applicable law.

11. Indemnification

You agree to indemnify and hold harmless Lanna Shield, its directors, employees, and advisors from any claims, damages, losses, or expenses (including legal fees) arising from your breach of these Terms, your misuse of advisory materials, or any third-party claims related to your use of our services.

12. Termination

Either party may terminate an advisory engagement by providing written notice to the other party. Upon termination, we will deliver any advisory materials prepared up to the date of termination, and fees for completed sessions and prepared materials remain due. Provisions regarding confidentiality, intellectual property, limitation of liability, and indemnification survive termination.

13. Dispute Resolution

These Terms and Conditions are governed by and construed in accordance with the laws of the Kingdom of Thailand. Any dispute arising from or in connection with these terms or our services shall first be addressed through good-faith negotiation between the parties. If the dispute cannot be resolved through negotiation within 30 days, either party may refer the matter to mediation or, failing that, to the competent courts of Chiang Mai Province, Thailand.

14. General Provisions

These Terms and Conditions, together with any engagement-specific terms, constitute the entire agreement between you and Lanna Shield regarding the matters addressed herein. If any provision of these terms is found to be unenforceable, the remaining provisions shall continue in full force and effect. Our failure to exercise any right under these terms shall not constitute a waiver of that right. We may not assign our obligations under these terms without your consent, except in the case of a business reorganization.

15. Changes to These Terms

We reserve the right to modify these Terms and Conditions at any time. Changes will be posted on this page with an updated effective date.
